Welcome to SCO Digital Exchange! This agreement is the User Agreement between you (“User” or “Customer”) and SCO Digital Exchange, Inc. (“SCO Digital Exchange,” “we,” or “our”). This User Agreement (“Agreement” or “User Agreement”) governs your use of the SCO Digital Exchange services listed below and any other services SCO Digital Exchange may provide from time to time (collectively, the “SCO Digital Exchange Services” or “Services”).
By registering for a SCO Digital Exchange account or using the Services through SCO Digital Exchange’s API, mobile application, or any other SCO Digital Exchange website (collectively, “SCO Digital Exchange Websites”), or by acquiring, holding, or using wrapped tokens issued by SCO Digital Exchange, you acknowledge that you have read, understood, and agree to accept all terms and conditions contained in this Agreement, including the Privacy Policy, Cookie Policy, and Prohibited Use Policy. You may be required to agree to additional terms and conditions to use certain additional services (as defined below).
Definitions of Key Terms
Digital Assets
Any digital asset (including virtual currency or virtual goods) that represents value based on or built upon a cryptographic protocol running on a computer network.
Supported Digital Assets
Only specific digital assets listed in your Digital Asset Wallet (defined below) that are eligible for trading or custody. Services and supported assets may vary by jurisdiction.
Modifications to This Agreement
We may modify or amend this Agreement at any time by posting a revised agreement on the SCO Digital Exchange Websites and/or by providing you a copy (“Revised Agreement”). The Revised Agreement becomes effective on the date of posting and is not retroactive. Your continued use of the Services after the posting of the Revised Agreement constitutes your acceptance of the Revised Agreement. If you do not agree with any such modifications, your sole and exclusive remedy is to stop using the Services and close your account.
No Investment Advice or Brokerage Services
General Principle
For the avoidance of doubt, SCO Digital Exchange does not provide investment, tax, or legal advice. You should independently assess whether any investment, investment strategy, or related transaction is appropriate for you based on your personal investment objectives, financial circumstances, and risk tolerance.
SCO Digital Exchange may provide educational information regarding supported and non-supported digital assets to help users better understand these assets. This information may include but is not limited to articles, links to third-party content, news, tutorials, and videos. Information provided on SCO Digital Exchange Websites or any third-party website does not constitute investment, financial, trading, or any other form of advice, and you should not treat any content on the Websites as such. SCO Digital Exchange does not recommend that you buy, earn, sell, or hold any digital asset. SCO Digital Exchange is not liable for decisions you make to purchase, sell, or hold digital assets based on information it provides.
Exclusion of Brokerage Services
Except where specific products state otherwise, SCO Digital Exchange does not act as your broker and does not execute transactions on your behalf. All SCO Digital Exchange transactions are automatically executed based on your order parameters and published execution processes.
Risk Disclosure
General Risks
Like any asset, the value of digital assets may rise or fall, and purchasing, selling, holding, or investing in digital assets involves substantial risk of loss. You should consult your financial, legal, or tax advisor and carefully consider, based on your personal situation and financial condition, whether trading or holding digital assets is appropriate for you.
Account Setup
Eligibility
To be eligible to use SCO Digital Exchange Services, you must be at least 18 years old. Depending on your location and other factors, some features may not be available to you.
Registering a SCO Digital Exchange Account
You must register a SCO Digital Exchange account (“SCO Digital Exchange Account” or “your account”) to use SCO Digital Exchange Services. Before using SCO Digital Exchange Services, you must complete certain verification procedures. By registering or using a SCO Digital Exchange Account, you agree and represent that you personally created the account and will use it only for yourself, not on behalf of any third party unless you have obtained prior written approval from SCO Digital Exchange. You are fully responsible for all activity occurring under your SCO Digital Exchange Account. SCO Digital Exchange may, at its sole discretion, refuse to open an account for you, suspend or terminate any SCO Digital Exchange Account, suspend or terminate the sending of digital assets from your account, or suspend or terminate digital asset trading within your account.
Consent to Access, Process, and Store Your Personal Data and Identity Verification Information
During registration or any other time deemed necessary by SCO Digital Exchange, you agree to provide information required for identity verification so that we can provide SCO Digital Exchange Services, detect money laundering, terrorist financing, fraud, or other financial crimes, and maintain records of such information. Information we may request includes—but is not limited to—your name, address, phone number, email, date of birth, taxpayer identification number, government-issued ID, and bank account information (e.g., bank name, account type, routing number, and account number). In certain cases (where permitted by law), this may include special categories of personal data such as biometric information.
You consent to SCO Digital Exchange accessing, processing, and storing any personal information you provide for the purpose of providing Services. This consent does not affect any rights or obligations under applicable data protection or privacy laws. You may withdraw this consent at any time by closing your account; however, if we reasonably believe retention is necessary for compliance with legal or regulatory obligations, we may continue to store and process your information.
You confirm the information you provide is accurate and truthful. If the information changes, you agree to notify us immediately. You authorize us to conduct necessary inquiries—directly or through third parties—to verify your identity or protect you and/or us from fraud or other financial crimes, and to take actions we deem necessary based on the results. You acknowledge that your information may be disclosed to credit agencies, fraud prevention agencies, or financial crime authorities, which may respond fully to our inquiries. Identity verification will not negatively impact your credit score.
We reserve the right to monitor, review, retain, and/or disclose any information as necessary to comply with applicable laws, regulations, sanctions programs, legal processes, or government requests. Additionally, by maintaining a SCO Digital Exchange Account, you authorize your wireless carrier to disclose information about your account and device (if applicable) to SCO Digital Exchange or its service providers solely for identity verification and fraud prevention.

Access Rights
SCO Digital Exchange Services may be accessed directly through SCO Digital Exchange Websites. During periods of extreme market volatility or surging transaction volume, access to SCO Digital Exchange Services may be limited or unavailable. This may result in significant delays in customer support response times. While we strive to provide high-quality service, we do not guarantee that SCO Digital Exchange Websites or Services will be continuously accessible or that any order can be executed, accepted, recorded, or remain open. SCO Digital Exchange is not responsible for loss resulting from delayed processing, failed execution, or delayed customer support. For example, if you temporarily cannot access your account, the value or price of the assets in your account may fall before access is restored. SCO Digital Exchange is not responsible for losses resulting from declines in digital asset value or price.
Custodial Wallets and Custody Services
Custodial Wallet Services
As part of your SCO Digital Exchange Account, SCO Digital Exchange will provide eligible users with:
(i) custodial digital asset wallets, each used to store supported digital assets (“Digital Asset Wallet”).
Unless otherwise noted, references to Digital Asset Wallets include the SCO Digital Exchange Vault.
Custodial Digital Asset Wallet
Your Digital Asset Wallet allows you to store, track, transfer, and manage supported digital asset balances. We securely store private keys needed to process transactions using online and offline storage. Under our security protocols, we may need to retrieve private keys from offline storage to execute transfers (“Digital Asset Transfers”), which may cause delays in initiating or completing such transfers.
Supported Digital Assets
Your Wallet may only be used for the proper use of supported digital assets as listed on SCO Digital Exchange Websites. You must not attempt to store, send, request, or receive any asset other than supported digital assets. SCO Digital Exchange is not responsible if you attempt to use your Wallet for non-supported assets.
SCO Digital Exchange may discontinue support for any digital asset at its discretion. If you do not sell or withdraw such asset before support ends, SCO Digital Exchange may remove it from your Wallet and credit you with an equivalent amount of supported assets or fiat currency (minus fees).

Exclusion of Supplemental Protocols
Unless SCO Digital Exchange Websites explicitly state otherwise, supported digital assets do not include supplemental protocols or features interacting with them. This includes but is not limited to:
meta-coins, colored coins, sidechains, derivatives, enhancements, forks, staking, protocol governance, or any smart contract functionality supplementing the supported assets.
Do not use your SCO Digital Exchange Account to receive, request, send, store, or engage in any transactions involving such protocols. Doing so will result in permanent loss of those assets. SCO Digital Exchange is not responsible for losses related to supplemental protocols.
Fungibility Across Certain Digital Assets
You acknowledge that SCO Digital Exchange may hold supported digital assets across multiple blockchain protocols, including Layer 2, other Layer 1 chains, or sidechains, and may store user balances in pooled blockchain addresses controlled by SCO Digital Exchange. All such forms—regardless of wrapping or protocol—are treated as fungible and equivalent.
Functioning of Digital Asset Protocols
SCO Digital Exchange does not own or control the underlying software protocols governing digital assets. These protocols are generally open-source and may change unexpectedly (including forks). Such changes may materially impact availability, value, functionality, or naming of digital assets in your Wallet. SCO Digital Exchange does not control the timing or nature of such protocol changes.
You accept the risk of protocol changes and agree that SCO Digital Exchange is not liable for losses resulting from them.
SCO Digital Exchange may take measures to protect asset security, including suspending operations of affected assets. SCO Digital Exchange may choose not to support new assets, forks, or protocol changes. SCO Digital Exchange has no obligation to assist with unsupported assets.
Custody and Ownership of Digital Assets
Ownership
Supported digital assets remain your property and are not transferred to SCO Digital Exchange. Assets in your Wallet are not SCO Digital Exchange property and are not subject to claims by its creditors.
SCO Digital Exchange does not borrow, pledge, or use your assets unless required by law or instructed by you.
Control and Customer Instructions
You retain control of your digital assets. Subject to delays, network requirements, service interruptions, and policies, you may instruct SCO Digital Exchange to transfer assets to other blockchain addresses.
Pooled Accounts
For efficient custody, SCO Digital Exchange may store assets in pooled blockchain addresses representing multiple customers and/or SCO Digital Exchange. Internal ledgering ensures separation of customer and company balances.
Governance and Voting
Some assets allow protocol-level governance voting. SCO Digital Exchange may or may not support voting and may stop at any time. If supported, SCO Digital Exchange will follow your instructions. If delegation is unsupported, SCO Digital Exchange may vote on your behalf according to protocol recommendations.
Payment Services, Buy/Sell Transactions, and Credit Transactions
Transactions on SCO Digital Exchange Websites
When you buy or sell supported digital assets on SCO Digital Exchange Websites (excluding third-party services), you are not buying from or selling to SCO Digital Exchange. SCO Digital Exchange acts as your agent, facilitating trades between you and other users.
You may purchase assets using:
(i) funds in your fiat wallet, or
(ii) supported digital assets in eligible wallets.
SCO Digital Exchange may cancel unconfirmed transactions within five (5) seconds of quoting a price. Purchased assets are typically credited immediately and available for trading.
If SCO Digital Exchange cannot complete a trade for any reason (price changes, delays, lack of counterparties, order size), the order will be rejected with no fee charged.
Fees
SCO Digital Exchange generally earns revenue from the spread when users buy or sell supported digital assets. Details appear on the Pricing & Fees Disclosure page.
You agree to pay all applicable fees and spreads. SCO Digital Exchange may change fees with notice where required by law.
Network fees (miner fees) may apply for transfers and will be disclosed before authorization.
Account Information
You may view wallet balances and transaction history on SCO Digital Exchange Websites, including:
(i) amount & currency of each transaction;
(ii) payer/payee reference information;
(iii) fees charged;
(iv) exchange rates where applicable;
(v) transaction date.
Reversals and Cancellations
Completed or pending transactions cannot be cancelled or reversed. If payment fails or funds are insufficient, you authorize SCO Digital Exchange to cancel the transaction or debit other linked funding sources.
SCO Digital Exchange may reverse or reject transactions to comply with legal orders or Prohibited Use Policy violations.
Digital Asset Transfers
General
Your Wallet allows you to send supported assets to third parties, request and receive assets from third parties, and transfer between wallets (“Digital Asset Transfers”). We recommend sending a small test amount first.
Pending Transactions
Transfers remain pending until confirmed by the blockchain network. Pending transfers cannot be used or cancelled.
Inbound Transfers
When you or a third party sends digital assets from a non-custodial wallet to a SCO Digital Exchange Wallet (“Inbound Transfer”), the sender is solely responsible for ensuring:
• the asset is a Supported Digital Asset, and
• the asset is sent to a compatible address with required destination tags/memos.
Incorrect deposits (wrong chain, unsupported assets) will result in permanent loss. SCO Digital Exchange has no obligation to recover lost assets but may attempt recovery at its discretion for a fee.
Network fees may apply, and insufficient fees may cause indefinite pending status on decentralized networks outside SCO Digital Exchange’s control.
Outbound Digital Asset Transfers
When you send Supported Digital Assets from your SCO Digital Exchange account to an external wallet (“Outbound Transfer”), SCO Digital Exchange will execute such transfer according to your instructions. You should verify all transaction information before submitting instructions to us. SCO Digital Exchange assumes no responsibility if you enter an incorrect blockchain destination address, incorrect destination tag/memo, or send Supported Digital Assets to an incompatible wallet. We do not guarantee the identity of the recipient of an Outbound Transfer or the value of assets received. Once broadcast to the relevant digital asset network, Digital Asset Transfers cannot be reversed, although they may remain pending and marked as “pending” while being processed by network operators. SCO Digital Exchange does not control digital asset networks and does not guarantee that the network will confirm Digital Asset Transfers.
We may cancel or refuse to process any pending Outbound Digital Asset Transfer in accordance with legal requirements or at the request of a court or other authority to which SCO Digital Exchange is subject in any jurisdiction. Additionally, we may require you to wait for a period of time after completing a transaction before you can continue to use SCO Digital Exchange Services and/or conduct transactions exceeding certain volume thresholds.
Data Protection and Security
Personal Information
You acknowledge that we may process personal information relating to you (if you are an individual) as well as personal information related to your employees or other associated individuals that you have provided or may provide to us, in order to perform this Agreement or provide SCO Digital Exchange Services. For this purpose, you represent and warrant that:
• Any personal information relating to individuals other than yourself that you disclose to us has been, or will be at the time of disclosure, provided in compliance with all applicable data protection and privacy laws, and such information is accurate, up-to-date, and relevant at the time of disclosure;
• Before providing any such personal information to us, you have read and understood our Privacy Policy, and with respect to personal information relating to individuals other than yourself, you have (or at the time of disclosure will have) provided those individuals with a copy of the Privacy Policy (including any version amended from time to time);
• If we provide you with any updated or replacement version of the Privacy Policy from time to time, you will promptly review that notice and provide copies to any individuals whose personal information you have provided to us.
Security Breaches
If you suspect that your SCO Digital Exchange account or any security information has been compromised, or if you become aware of any fraud, attempted fraud, or other security incident affecting you and/or SCO Digital Exchange (including cybersecurity attacks) (collectively, a “Security Breach”), you must immediately notify the SCO Digital Exchange support team via https://www.hkexrwa.com
and provide accurate and up-to-date information during the Security Breach. You must take any steps reasonably required by us to mitigate or manage any Security Breach. Timely reporting of a Security Breach does not guarantee that SCO Digital Exchange will compensate you for any losses suffered, nor does it imply that SCO Digital Exchange is responsible for any losses arising from a Security Breach.
Computer Viruses
SCO Digital Exchange is not responsible for any computer viruses or other malicious code that may affect your computer or device, nor for any losses or interruptions caused by phishing, spoofing, or other attacks. We recommend the regular use of reputable and available virus-scanning and protective software. You should also be aware that SMS and email services are vulnerable to spoofing and phishing attacks, so you should exercise caution when reviewing information that claims to come from SCO Digital Exchange. If you have doubts about the authenticity of any communication or notice, always log in to your SCO Digital Exchange account through the SCO Digital Exchange Website to verify any transactions or required actions.
Device Permissions
When using SCO Digital Exchange Services, you may be required to grant camera permissions to your device, primarily for identity verification and security purposes. For example, during the verification process, SCO Digital Exchange may request that you submit a photograph of your identification document or a selfie to ensure account security and compliance with regulatory requirements.
Device Permission Details
• Camera Permission: Used to capture photos of identification documents or selfies for identity verification.
• Device Information: SCO Digital Exchange may collect device-specific information, such as IP address, browser type, and device identifiers, to monitor and detect potential fraudulent activity.
Privacy Protection Measures
SCO Digital Exchange values user privacy and takes reasonable measures to protect your personal information from unauthorized access, use, or disclosure. All communications between your device and SCO Digital Exchange are encrypted to ensure security during transmission.
General Obligations, Taxes, Designated Fiduciary, and Termination
Limited License
SCO Digital Exchange Services, all content provided or included through SCO Digital Exchange Websites, and any related content, materials, and information—including text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software (collectively, “Content”)—are the property of SCO Digital Exchange or its affiliates or content providers and are protected by U.S. and international copyright laws. Subject to the terms of this Agreement, we grant you a limited, non-exclusive, non-transferable license to access and use SCO Digital Exchange Services, SCO Digital Exchange Websites, and the Content solely for the purposes approved by SCO Digital Exchange from time to time. Any other use of the Services, Websites, or Content is expressly prohibited, and SCO Digital Exchange and its licensors reserve all other rights, titles, and interests.
You agree not to copy, transmit, distribute, sell, license, reverse engineer, modify, publish, participate in the transfer or sale of, create derivative works from, or otherwise exploit any or all Content without prior written consent from SCO Digital Exchange.
Trademarks and Branding
“SCO Digital Exchange” and the following non-exhaustive list—including HKEXRWA SCO Digital Exchange, SCO Digital Exchange logos, the F logo, SCO Digital Exchange EXCHANGE—as well as any graphics, logos, button icons, and service names provided or included in any Content, and all branding associated with SCO Digital Exchange Services or displayed on SCO Digital Exchange Websites are trademarks or trade dress of SCO Digital Exchange or its licensors in the U.S. and other jurisdictions.
You may not copy, imitate, or use such branding without prior written consent, including but not limited to:
• use on any unauthorized product or service;
• use in any manner likely to cause customer confusion;
• use that disparages or harms the reputation of SCO Digital Exchange.
Website Accuracy
Although we strive to provide accurate and timely information on SCO Digital Exchange Websites, the Websites (including Content) may not always be entirely accurate, complete, or current, and may contain technical inaccuracies or typographical errors. Information may be changed or updated without notice, including information about our policies, products, and services.
You should independently verify all information before relying on it, and all decisions based on information contained on SCO Digital Exchange Websites are made at your sole risk. SCO Digital Exchange does not guarantee the accuracy of third-party information (including historical prices or supply data). We may provide links to third-party materials for convenience, but such content is outside our control. You acknowledge that SCO Digital Exchange is not responsible for third-party content, information, or services accessible through links appearing on SCO Digital Exchange Websites.
Third-Party Applications
To the extent permitted by SCO Digital Exchange, if you authorize a third party to access or connect to your SCO Digital Exchange account through a third-party product or service or through SCO Digital Exchange Websites, you acknowledge that authorizing such third party to act on your behalf does not relieve you of obligations under this Agreement. You are fully responsible for any actions or omissions of third parties granted access to your account. You further acknowledge and agree not to hold SCO Digital Exchange liable for such third-party actions or omissions and agree to indemnify SCO Digital Exchange for any resulting liability.
You may modify or revoke any third-party access via your account settings on SCO Digital Exchange Websites.
Your Content
Some SCO Digital Exchange Services allow you to share your own content (e.g., text, images, videos, graphics, audio, or other materials) (“Your Content”). Before sharing Your Content through the Services, you represent and warrant that you own and control all intellectual property rights in Your Content (or possess necessary usage rights), and that Your Content is lawful. We reserve the right to remove Your Content at our sole discretion without notice or liability.
Your Content must comply with all applicable policies, including the Content Policy. If Your Content violates any policy, we may remove it without notice. We may also categorize or label Your Content, and other users may do so as well. Labeling may affect how Your Content is displayed within the Services.
Password Security; Contact Information
You are responsible for creating a strong password and maintaining security and control over all devices, identity documents, email accounts, passwords, hints, PINs, API keys, or other codes used to access SCO Digital Exchange Services.
You may designate two or more trusted contacts (“Trusted Contacts”) for identity verification during certain account actions (e.g., account recovery). You are responsible for ensuring such contacts are individuals you know and trust, that they can be reached, and that their information is kept up to date.
Loss or compromise of this information—or any actions taken by Trusted Contacts—may result in unauthorized access to your SCO Digital Exchange account and loss or theft of digital assets. You are responsible for ensuring your email and phone number remain updated. You must not allow others remote access to your device or screen after logging in.
SCO Digital Exchange will never ask you or your Trusted Contacts to provide passwords, 2FA codes, or share your screen. SCO Digital Exchange is not responsible for losses related to compromised login credentials, passkeys, or misuse of Trusted Contacts.
If you suspect your account information has been compromised, contact SCO Digital Exchange support immediately.
Taxes
Tax treatment of digital asset transactions is uncertain. You are responsible for determining any applicable taxes arising from your use of SCO Digital Exchange Services. Users are responsible for reporting and paying applicable taxes and acknowledge that SCO Digital Exchange does not provide investment, legal, or tax advice.
SCO Digital Exchange may report information regarding your transactions to tax authorities as required by law and withhold taxes where legally required. Failure to provide requested tax documentation may result in required withholdings. You should conduct your own due diligence and consult your tax advisor before making digital asset transaction decisions.
Designated Fiduciary
For security reasons, if we receive legal documentation or other information confirming your death, or giving us reasonable grounds to believe you have died, we will freeze your SCO Digital Exchange account. No transactions may be completed until one of the following occurs:
• Your Designated Fiduciary opens a new SCO Digital Exchange account (as described below), and all funds from your account are transferred to that new account; or
• We receive satisfactory evidence that you are not deceased.
If we have reason to believe you may be deceased but lack satisfactory evidence, you authorize us to conduct the investigations we deem necessary to determine your status. Upon receiving satisfactory evidence of your death, your Designated Fiduciary must open a new SCO Digital Exchange account to access your funds.
If you have not designated a fiduciary, we reserve the right to:
• treat any person entitled to inherit your account as your fiduciary upon receipt and review of documents we consider necessary (e.g., will, trust, estate declarations); or
• require a court order appointing a fiduciary.
If we determine that uncertainty exists regarding the validity of a fiduciary designation, we may require a court order resolving the matter before taking action.
Suspension, Termination, and Cancellation
SCO Digital Exchange may, at its sole discretion and without disclosure of specific reasons, immediately suspend, restrict, or terminate your access to some or all SCO Digital Exchange Services, or deactivate/cancel your account. You acknowledge that such decisions may be based on confidential risk management and security criteria. SCO Digital Exchange has no obligation to disclose such information.
Within ninety (90) days after deactivation or cancellation, you may transfer your supported digital assets or funds unless prohibited by law (including sanctions) or a valid subpoena or court order.
You may cancel your account at any time, but must pay any outstanding amounts owed. Upon cancellation, you authorize us to cancel or suspend any pending transactions.
SCO Digital Exchange may terminate or modify any product or service at any time and may migrate you to similar services if available, with advance notice where appropriate.
Export Controls and Sanctions
Your use of SCO Digital Exchange Services is subject to applicable laws, including export restrictions, end-user restrictions, anti-terrorism laws, and economic sanctions. By sending, receiving, buying, selling, trading, or storing digital assets through SCO Digital Exchange, you agree to comply with all applicable laws. You may not use the Services in violation of these laws.
Consent to Receive SMS Messages
By opting in to receive SMS messages from SCO Digital Exchange, you confirm that the phone number you provide is accurate and that you are the current subscriber or owner of that number. By voluntarily providing your number and opting in, you consent to receiving automated SMS messages (including SMS, MMS, or successor technologies) from SCO Digital Exchange. This consent is not a condition of purchase.
Customer Feedback, Inquiries, Complaints, and Dispute Resolution
Contacting SCO Digital Exchange
For feedback or general questions, contact us through our customer support page. Legal documents (including civil subpoenas and small claims actions) must be served on our registered agent.
Service on a registered agent does not waive any objections SCO Digital Exchange may have to such documents.
Liability and Indemnification
Release of SCO Digital Exchange; Indemnification
If you have a dispute with one or more users of SCO Digital Exchange Services, you release SCO Digital Exchange, its affiliates, service providers, officers, directors, agents, joint venturers, employees, and representatives from all claims or demands arising out of or related to such disputes.
You agree to indemnify and hold harmless SCO Digital Exchange and its related entities from any claims arising from your breach of this Agreement, violation of laws or regulations, or infringement of third-party rights, including attorneys’ fees and regulatory penalties.
Limitation of Liability; No Warranties
Under no circumstances shall SCO Digital Exchange, its affiliates, service providers, or any of their officers, directors, agents, joint venturers, employees, or representatives be liable for:
• any amount exceeding the value of Supported Digital Assets in your wallet at the time of the event giving rise to the claim; or
• any loss of profits, goodwill, data, value, business opportunities, or other intangible losses; or
• any special, incidental, indirect, intangible, or consequential damages, regardless of legal theory, even if SCO Digital Exchange was warned of the possibility.
The Services are provided “as is” and “as available,” without warranties of any kind. SCO Digital Exchange disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted access.
You acknowledge that you are not relying on any representations not expressly contained in this Agreement.
Without limiting the above, you agree that SCO Digital Exchange is not liable for:
• inaccuracies or delays in digital asset price data;
• viruses or malicious software obtained via our systems or linked services;
• failures or errors in our systems or services;
• any suspension or actions taken on your account.
General Terms
Entire Agreement
This Agreement, the Privacy Policy, the Electronic Signature Disclosure and Consent Policy, the Prohibited Use Policy, and the appendices incorporated by reference together constitute the entire understanding and agreement between you and SCO Digital Exchange regarding the subject matter of this Agreement, and supersede all prior discussions, agreements, and understandings between you and SCO Digital Exchange (including, without limitation, any previous versions of this Agreement). The section headings in this Agreement are for convenience only and shall not determine or interpret the meaning of any provisions of this Agreement.
Assignment
We reserve the unrestricted right to assign our rights, including but not limited to assignments to any SCO Digital Exchange affiliate or subsidiary, or to any successor in interest of the business associated with SCO Digital Exchange services. If SCO Digital Exchange is acquired or merged with a third party, we reserve the right to transfer or assign the information collected from you as part of such merger, acquisition, sale, or other change of control.
You may not assign any rights and/or licenses granted under this Agreement. Any attempted assignment or transfer in violation of this Agreement shall be null and void. Subject to the foregoing, this Agreement shall be binding upon and inure to the benefit of the parties, their successors, and permitted assigns.
Severability
If any provision of this Agreement is determined to be invalid or unenforceable under any rule, law, or regulation of any local, state, or federal governmental agency, such provision shall be modified and interpreted in a manner that most closely achieves the purpose of the original provision under applicable law, and the validity and enforceability of the remaining provisions of this Agreement shall not be affected.
Survival
All provisions of this Agreement that by their nature should survive termination or expiration—including, without limitation, terms regarding suspension or termination, SCO Digital Exchange account cancellation, amounts owed to SCO Digital Exchange, general use of SCO Digital Exchange Websites, disputes with SCO Digital Exchange, and general provisions—shall survive termination or expiration of this Agreement.
Governing Law
You agree that this Agreement and any disputes arising from it shall be governed by the laws of the State of Colorado, without regard to conflict-of-law principles, except where federal law applies.
Force Majeure
We shall not be liable for any delays, failure to perform, or interruption of service resulting directly or indirectly from circumstances or causes beyond our reasonable control, including but not limited to severe market fluctuations, acts of God, acts of civil or military authorities, terrorist acts, civil disturbances, war, strikes or other labor disputes, fire, interruption of telecommunications or internet services or network provider services, equipment and/or software failures, epidemics, other disasters, or any other events beyond our reasonable control. Such circumstances shall not affect the validity or enforceability of the remaining terms of this Agreement.
No Waiver of Rights
Nothing in this Agreement shall be construed as a waiver of any rights that cannot be waived under applicable law (including applicable money transmission laws in your jurisdiction). Additionally, our failure to insist on or enforce strict performance by you of any provision of this Agreement or failure to exercise any right under this Agreement shall not be construed as a waiver of our right to assert or rely upon any such provision or right in any other instance.
Relationship of the Parties
SCO Digital Exchange is an independent contractor in all respects. Nothing in this Agreement is intended to or shall be used to create a partnership or joint venture between you and SCO Digital Exchange, nor shall it grant you the authority to act as an agent of SCO Digital Exchange.
Verification Procedures and Limitations
As a regulated financial services company, we are required to identify the users of our platform. This ensures our compliance with KYC (Know Your Customer) and AML (Anti-Money Laundering) laws in the jurisdictions in which we operate and is essential for us to continue providing digital asset trading services to customers. SCO Digital Exchange collects and verifies your information to:
• Protect SCO Digital Exchange and the community from fraudulent users; and
• Maintain proper records for SCO Digital Exchange customers.
Your daily or weekly redemption limits, withdrawal and trading limits, instant buy limits, and transaction limits for linked payment methods are based on the identity information and/or identity documents you provide to SCO Digital Exchange.
Requirements for Customers to Use SCO Digital Exchange Services
All customers wishing to use SCO Digital Exchange services must create a SCO Digital Exchange account by:
• Providing your name, valid email address, and password;
• Confirming that you are at least 18 years old;
• Accepting the User Agreement and Privacy Policy; and
• Submitting the following information to complete identity verification:
— Name
— Date of birth
— Address
— Social Security Number (SSN) or government-issued identification number (ID)
Requirements for Customers to Send and Receive Digital Assets on the Blockchain
All customers who wish to send and receive digital assets on the blockchain must:
• Submit a copy of an acceptable identity document (such as a passport, state driver's license, or state ID); and
• Submit a photograph or selfie taken via webcam or mobile phone.
Additional Verification Requirements
Although minimum verification procedures are established for the SCO Digital Exchange Services described, SCO Digital Exchange may still require you to provide or verify additional information, or may require you to wait for a period of time after completing a transaction before using any SCO Digital Exchange Services and/or conducting transactions that exceed certain volume thresholds. You can visit the “Limits” page in your account to determine the transaction limits associated with your identity verification level.
